These are the Terms & Conditions under which MiExact Ltd (“MiExact”) provides access to the CharityTracker service (the “Service”). This is a legal agreement (the “Agreement”) between MiExact and you (the “Licensee”). By accessing CharityTracker, you agree to these terms. If you do not agree, you must not use the Service. Any paid subscription is set out in your Order Form (the “Order”), which together with these Terms forms the Agreement.

1.1 CharityTracker may be used for internal research, fundraising management, and data insight purposes only. You may not resell, redistribute, or integrate Service data into third-party products.
1.2 Access is limited to the usernames and passwords allocated by MiExact and may only be used by the named individuals.
1.3 Licensees must keep their login details confidential and notify MiExact immediately of any unauthorized access.
1.4 Automated data extraction (web crawlers, scraping tools) is prohibited.
1.5 MiExact may suspend access for maintenance, upgrades, or suspected misuse.
2.1 MiExact strives to ensure accuracy but does not guarantee the completeness or correctness of Service data and content.
2.2 Data should be checked before use; MiExact accepts no liability for consequential loss due to errors or omissions.
2.3 The Licensee may quote or use data in internal reports, attributing CharityTracker as the source.
3.1 All rights to data, content, and the CharityTracker platform remain with MiExact.
3.2 Users may not copy, reproduce, modify, distribute, or create derivative works without express permission.
3.3 Nothing in this Agreement transfers ownership of intellectual property or database rights to the Licensee.
4.1 The CharityTracker name and logos may not be used in external materials without prior written consent from MiExact.
5.1 CharityTracker is provided “as is” without warranty. MiExact is not liable for direct or indirect loss arising from use of the Service.
5.2 MiExact is not responsible for loss of data, revenue, or business caused by Service downtime or errors.
5.3 Total liability, if any, is limited to £1,000 per incident, except where liability cannot be excluded by law.
6.1 Licenses are for the period specified in the Order. Renewal occurs automatically unless cancelled in writing before renewal.
6.2 Upon termination, access ceases immediately. Licensees must delete any downloaded or extracted data.
7.1 CharityTracker is provided for internal use only. Licensees must not disclose Service data, terms, or subscription details to third parties without consent.
8.1 MiExact processes personal data as a data controller under GDPR and applicable law. View our Privacy Policy for more information.
8.2 Licensees must ensure any personal data shared with MiExact complies with data protection requirements.
9.1 These Terms, together with your Order, constitute the entire Agreement.
9.2 Any invalid or unenforceable provision will be severed; remaining provisions remain valid.
9.3 These Terms are governed by the laws of England and Wales. Disputes fall under the exclusive jurisdiction of the English courts.
